These Engagement Terms supplement our Terms of Service and apply to all retainer engagements with [YOUR LEGAL NAME] (trading as "NordicMarketing"). For one-off projects, the Statement of Work governs.

1. Initial commitment period

Digital marketing performance compounds over time. Most strategic work needs 90 days of consistent execution before performance can be meaningfully evaluated.

For this reason, all retainer engagements begin with an initial commitment of 3 months (90 days). This protects both parties and ensures we're not making decisions on incomplete data.

During the initial commitment, you cannot terminate the engagement except for cause (see section 7).

2. Month-to-month after 90 days

After the initial 90 days, the engagement automatically continues on a month-to-month basis. You can cancel at any time with 30 days' written notice. There is no long-term lock-in.

To cancel, email hello@nordicmarketing.com. Your final invoice will cover work completed up to the end of the 30-day notice period.

3. What's included in your retainer

The specific scope is defined in your Statement of Work (SoW). In general, retainers include:

  • Defined monthly deliverables per your selected tier (Starter, Growth, Enterprise)
  • Dedicated account specialist (no juniors, no rotating account managers)
  • Weekly performance review call
  • Access to your Looker Studio attribution dashboard
  • Email and Slack support during business hours (Mon–Fri, 9:00–18:00 GMT+1)
  • Quarterly strategy review

4. What's not included

Unless explicitly listed in your SoW, the following are out of scope and quoted separately:

  • Web development and full site rebuilds (we recommend trusted partners)
  • Influencer marketing campaigns and creator partnerships beyond UGC briefing
  • Brand identity, photography, and high-production video shoots
  • Third-party tool subscriptions (Klaviyo, Triple Whale, Northbeam, Ahrefs, etc.) — you maintain your own licences; we configure them for you
  • Ad spend — you pay platforms directly via your own ad accounts
  • Translation services for non-English markets — quoted per project
  • PR and earned media outreach beyond digital PR for SEO links

If you need any of the above, we can recommend trusted partners or quote separately.

5. Scope changes and additional work

If you need additional work beyond your retainer scope in a given month, we will quote a one-off fee or "scope expansion" before starting. We do not surprise you with unbillable hours or invoice overruns.

Unused retainer hours do not roll over to the following month.

6. Refunds

Because digital marketing services are delivered continuously over the month (media management, creative production, email flows, attribution work, etc.), monthly retainer fees are non-refundable once paid.

Exceptions:

  • If we materially fail to deliver agreed-upon work in a given month due to fault on our side, we will issue a pro-rata credit or refund (at your choice) for the undelivered portion.
  • For one-off projects, refunds are governed by the relevant Statement of Work.
  • If you cancel within the first 7 days of starting (the "cooling-off period") and no work has yet been delivered, we will refund the first month in full.

7. Termination for cause

Either party may terminate the engagement immediately (without the 30-day notice requirement) if the other party:

  • Materially breaches the engagement and fails to remedy within 14 days of written notice
  • Becomes insolvent or enters bankruptcy proceedings
  • Engages in fraud, illegal activity, or behaviour reasonably deemed unacceptable

We reserve the right to terminate immediately if you request work that violates Meta, Google, or TikTok platform policies, EU consumer-protection laws, or other applicable regulations.

8. Pausing the engagement

You may request a pause of up to 30 days once per 12-month period (e.g. during a major site migration or rebrand). Pause requests require 14 days' written notice. No fees are charged during the paused period, and the pause does not count toward the initial 90-day commitment.

9. Deliverables ownership

On full payment of all invoices, all bespoke deliverables produced for you (content, audits, reports, dashboards, custom tools) become your property. You may keep, modify, or redistribute them as you wish after the engagement ends.

Our proprietary frameworks, internal templates, and methodologies remain our property — but the outputs we produce for you are yours.

10. Confidentiality after the engagement

Our confidentiality obligations survive termination indefinitely. We will not disclose your business strategy, financials, or proprietary data to any third party except as required by law.

11. Post-engagement support

For 30 days after the engagement ends, we will provide reasonable handover support at no charge — including transferring assets, exporting reports, and answering questions from your new in-house or agency team.
